He focuses on the representation of public and private companies and investment banks in general corporate and finance matters, with an emphasis on mergers, acquisitions and strategic transactions, public and private securities offerings and corporate governance and compliance.

 

Mergers, acquisitions and strategic transactions – Chris has represented buyers and sellers in numerous transactions in North America (United States and Canada), Europe (France, Germany, Italy, Netherlands and the UK) and Asia (China, Hong Kong, Japan, Singapore and South Korea). He also regularly represents investment banks providing advisory services (including fairness opinions) in connection with such transactions.
 

Public and private securities offerings – Chris has been involved in more than 75 public and private offerings of equity and debt securities (IPOs, follow-ons and private offerings of seed capital, common and preferred stock offerings, convertible and bridge note offerings, term loans and line of credit transactions), including domestic and international offerings, representing issuers, underwriters and placement agents.
 

Corporate governance and compliance – Chris has considerable experience representing boards and special committees in complex merger and acquisition and related party transactions and has co-authored a book on fiduciary duties of directors and officers, which is widely acclaimed in the industry. He represents public and private companies seeking to develop and maintain best practices in corporate governance. He also regularly represents companies in their ongoing compliance with the Securities Exchange Act of 1934 and stock exchange requirements.
 

Chris represents corporate clients across multiple industries, including, technology, telecommunications, action sports, transportation, life sciences, clean energy/renewables, project finance and development, industrial, insurance and financial/banking.
