M&A Term Sheets 101 in a Time of Disruption

Please join us for a fun evening of networking, hors d’oeuvres and a discussion on M&A with FEI members and guests! Navigating through a potential acquisition can pose many challenges including time, costs and diversion of resources.

During our first live 2022 TAG event, we will discuss how to successfully protect your company in a M&A letter of intent including:

  • The latest M&A trends from the unprecedented deal volumes in late 2021 to date
  • The pros and cons for M&A term sheets/ letters of intent
  • The basic contents of term sheets/ LOIs
  • New analysis on deal structures, post-closing consideration, representations and warranties, and indemnification terms
  • How has inflation, supply chain issues and COVID impacted 2022 deal terms.

Speakers:

Craig Lilly is a leading legal advisor for strategics and private equity clients on domestic and cross-border technology acquisitions, mergers, divestitures, recapitalizations, consolidations, auctions, leveraged buyouts, and minority investments.

Craig’s practice includes advising emerging technology companies on venture capital financings, corporate governance, public offerings and joint ventures. He also represents fund sponsors in connection with structuring and organizing investment funds, parallel investment vehicles, and offshore funds.

Craig frequently writes and lectures on legal and business issues regarding mergers and acquisitions, private equity investments and corporate finance. He has been quoted in, or contributed to, articles and features in Bloomberg, The Wall Street Journal, The Deal Magazine, Reuters, CFO.com and other major publications. He is a member of the Board of Directors of The Association for Corporate Growth – Silicon Valley and an Advisor to Financial Executives International – Silicon Valley Chapter. From 2006 to 2010, he was the California reporter for the American Bar Association Committee on State Regulation of Securities.

 

Jan Robertson is Managing Partner, CFO and Co-Founder of SiVal Advisors, a technology-focused mergers & acquisitions advisory firm located in Silicon Valley, California. Ms. Robertson, a frequent speaker and author on topics related to M&A, has advised numerous clients and boards of directors on a wide variety of transactions over her thirty-year career. Prior to SiVal Advisors, Jan was Managing Director in Needham & Company’s Menlo Park, CA office, where she built the M&A practice from 1997 to 2002, and prior to that was a Managing Director, M&A at RBC Capital Markets in Toronto. She is a frequent speaker on M&A related topics in the U.S. and internationally. In 2012 Jan was honored as one of Silicon Valley’s “Top 100 Women of Influence”.
