This workshop is led by Cathy Chiu and Ron Yu who, together, have decades of M&A execution and operating executive experience to dive deeply into M&A strategy-to-execution, team alignment disconnects, and critical issues often neglected to ensure post-deal success.

Workshop Leaders:

As Group Directors with the Alliance of CEOs, Cathy Chiu and Ron Yu are adept at directing deep group exchange on critical strategic topics. This workshop will be conducted in a highly interactive dialog format (vs. lecture) with a focus on specific business situations in the context of planning for an exit. While there is plenty of content to get through, it will be covered in a business case study fashion.

Catherine Chiu, Managing Partner of Falcon Associates, has built her M&A experience from all sides of the negotiating table. She has advised public and private companies in acquisition, strategic joint venture and sale as an investment banker, closing deals from $5 million to $1 billion. She has been part of the corporate executive team in executing acquisitions, and negotiated exits on behalf of portfolio companies while in venture capital. She is also an active angel investor (Co-President of Berkeley Angel Network), and has honed her investment diligence experience by engaging with many early-stage companies. Cathy brings to her M&A advisory work not only financial expertise, M&A process management and negotiations experience, but perspectives gained from client situations, peer-advising discussions, and portfolio companies’ challenges. Cathy believes deeply that it is important to shape successful M&A outcomes by paying close attention to building in wins for everyone, at all stages of the process.

Ron Yu, Managing Partner of ExecCatalyst, is a high-tech executive coach with a passion for helping C-level executives grow as leaders and removing people-friction within their teams that impede business execution. His clients bring him in to confront team alignment challenges and to create high functioning teams who communicate and collaborate effectively. Prior to this and over the course of 20+ years, Ron has held executive/ VP roles in marketing and customer services for some of Silicon Valley’s best-known companies e.g. Oracle, salesforce.com, Hyperion, etc. in addition to several venture backed startups. Having an “insider’s view” to M&A transactions enables him to read the people motivations and to assess cultural fit misalignments that become the source of integration failures. Ron is also a Platinum Partner of Financial Executives International – Silicon Valley, a national membership organization for CFOs with 12,000 members across 65 chapters.

Allison Leopold Tilley, Partner of Pillsbury Winthrop Shaw Pittman LLP, has been named one of the top “Women Leaders in Tech Law” by The Recorder for five consecutive years, Silicon Valley partner Allison Leopold Tilley advises technology companies, including on their formation, venture capital financings, multibillion-dollar M&As, securities transactions and board governance. Repeatedly recognized by Best Lawyers, Allison represents startups, emerging growth entities, venture capital firms, entrepreneurs and multinational public companies regarding a wide range of corporate matters. As counsel to acquirers and target companies, she has closed billions of dollars in M&A deals for technology companies. Allison advises on private placements, public offerings, venture funds and joint ventures, and general corporate transactions. Allison serves on Pillsbury’s managing board.

 

Stephen Osborn, A Partner at Osborn McDerby, Steve is a business-minded attorney with broad-based corporate law and business management expertise. He regularly advises companies and investors on mid-market merger and acquisition (M&A) transactions, corporate finance, intellectual property, and general corporate matters. Steve also has experience advising clients with respect to exit strategies, business development and structuring complex business deals. Prior to Osborn McDerby, Steve was General Counsel and Vice President, Business Development of venture-backed health software company CoreMD. Prior to that, Steve built a strong legal foundation at top international law firms, representing clients such as Motorola, Nokia, Yahoo!, Essex Property Trust and Citibank.
