Managing Merger and Acquisition Risk

We all know that entering into M&A transactions carries tremendous risk. During this session we will learn more from a legal perspective, what are these risks and what can be done to mitigate unnecessary exposures arising out of these transactions at a later date. This said, we all know that no matter what precautionary measures a firm takes to minimize risk, there is potential for future litigation.

In the event that a claim is made post transaction, we will also review what protection is available via the insurance sector. Rep & Warranty Insurance (RWI) is often used in conjunction with these transactions to allow for cleaner exits and to transfer risk to insurance carriers. RWI is constantly evolving, thus we will review the state of the market, what protection is truly available and for what size transactions? We will also discuss the underwriting process and ballpark costs associated with such protection.
